Alan Refkin Alan Refkin
Specialty: Management and Finance

For the past 22 years Alan Refkin has served as the Chairman and CEO of Thornhill Capital, a global consulting firm providing forensic due diligence, financial restructuring / recapitalizations, risk management, litigation related expert witness testimony and consulting, mergers and acquisitions, joint venture / strategic partnering, and financing services. Thornhill Capital currently operates in North America, Asia, Europe and Latin America.

Mr. Refkin is also an internationally recognized expert on China who has spoken at the National People’s Congress in Beijing and at numerous Chinese government seminars, as well as seminars in North America and Latin America. He has published four critically acclaimed books on how to conduct business in China, and writes a column on Chinese business practices for an international newspaper. He serves as an advisor to a number of international corporations and financial institutions, and has assisted companies in going public and / or in obtaining growth capital.

David Dodge David A. Dodge
Specialty: Accounting and Finance

David A. Dodge has been an independent financial consultant since 2007, acting as interim CFO and/or providing accounting, management, and financial reporting services for Anhui Taiyang Poultry Co., Inc. (OTCBB:DUKS), TTC Technology Corp (formerly SmarTire Systems, Inc.) (TCLIF.PK), Futuremedia PLC (FMDAY.OB), and multiple privately held Chinese companies in the process of going public and raising capital in North America. Previously, Mr. Dodge served as CFO of NeoMedia Technologies, Inc. (OTCBB: NEOM), a U.S. public company, from 2002 through 2007. From 1999 to 2002, Mr. Dodge held various finance-related positions with NeoMedia, including Director of Financial Reporting, Director of Financial Planning, and Controller. Prior to his public company experience, Mr. Dodge was an auditor with Ernst & Young LLP from 1997 to 1999. Mr. Dodge holds a B.A. in economics from Yale University and an M.S. in accounting from the University of Hartford, and is also a Certified Public Accountant (inactive).

Zhang Jingje Zhang Jingjie (Maria)
Specialty: International Trade

Jingjie(Maria) Zhang is Thornhill's General Manager, China. Ms. Zhang holds a B.A. degree in Economics (International Trade) from Southwest University of Science and Technology in China. Prior to becoming General Manger, China, Ms. Zhang served as Thornhill's head of Strategic Planning and Business Development. She works with law firms, audit firms and investment banking firms in coordinating funding, due diligence, financial reconstruction, pre-audit and audit management service teams within China. She also supervises the translation services division of Thornhill. Ms. Zhang has extensive experience in working with Chinese companies, develops and implements Thornhill's growth within Asia as well as coordinates with clients during the planning and funding process.

Scott Cray Scott D. Cray
Specialty: Operations and Real Estate

Scott D. Cray has served as the CEO of a number of US companies, primarily focusing on land development, along with commercial/residential construction, over the last 30 years. Since 2004 he has spent much of his time providing managerial and operational advisory services to Chinese companies. He has served as the Director of Operations for a public Chinese company and currently serves on the Board of Directors of a number of public and private Chinese companies. Scott is also a member of Thornhill Capital and specializes in operations and real estate.

Kerry Refkin Kerry Refkin

Kerry Refkin provides real estate consulting services to property owners and developers in the areas of commercial and residential real estate development, management, leasing, sales and acquisitions.

Kerry’s experience includes over 28 years years of successful leadership in the development, sales, leasing, marketing, and management of distinguished real estate companies, communities, and projects.

Kerry currently serves as the senior Vice President of The Jack Parker Corporation, a privately-held real estate company founded in 1955 with a diversified real estate development portfolio consisting of hotels with more than 1,500 rooms and suites including the world-class Le Parker Meridien in Manhattan and The Parker Palm Springs hotel in Palm Springs, CA; restaurants, including the famous Norma's and The Burger Joint; fitness centers and spas, parking garages and more than 5 million square feet of office, retail and industrial space spanning the east coast from New York to Florida; over 15,000 single-family homes, apartments, cooperatives and condominiums.

Kevin Hunter Kevin D. Hunter, Ph.D
Specialty: Management, Intellectual Property and Technology

Dr. Kevin Hunter is an Information Technology specialist, with over 25 years of experience in the analysis, design, development and deployment of computer-based and Internet-based systems. Prior to his current position as an independent technology consultant, Dr. Hunter served as the Chief Scientist for NeoMedia Technologies, Inc., as a Principal Engineer in the Research and Development department at Symbol Technologies, Inc., as Principal Fellow with Pitney Bowes, Inc., and as a Member of Technical Staff with Bell Laboratories.

Dr. Hunter holds a Ph.D. in Electrical Engineering from Stony Brook University, an M.S.E.E. from MIT, and a B.S.E.E. from Rutgers University. In addition, he is the holder or co-holder of over 45 U.S. and international patents.

David Lethem David Lethem
Specialty: Sarbanes Oxley Compliance and Implementation

David S. Lethem is currently serving as an SEC/Audit Consultant for public companies, most recently NeoMedia Technologies, Inc (OTCBB:NEOM) and NeoGenomics, Inc. (OTCBB:NGNM). From 2005 through 2007, Mr. Lethem served as Director of Internal Audit for NeoMedia. Prior to NeoMedia, he served as Internal Audit Manager for a public company, Source Interlink (NASDAQ:SORC), and has served as a consultant for Sarbanes Oxley and SEC compliance with Accume Partners. Prior to his public company experience, Mr. Lethem served as Chief Financial Officer of two community banks, and has also served as controller for two private companies. Mr. Lethem holds a B.A in History from the University of Dubuque and an MBA from California Coast University, and is also a Certified Internal Auditor.

Yang Hao Yang Hao
Specialty: Accounting and Finance

Yang Hao, graduated from the Renmin University of China School of Business with a MA Degree in Accounting. He has served as capital manager, audit manager and accounting manager in large state-owned enterprises, a Hong Kong-listed company, and a U.S. publicly listed company where he assisted in the reverse merger and funding processes. He has also held the position of finance manager with the U.S. public company. Mr. Yang is familiar with both Chinese and American accounting standards, including GAAP. In his various positions he has been responsible for establishing corporate internal controls, corporate funds management and financial control systems, along with the budget management system. Mr. Yang currently serves as a consultant to both American and Chinese companies in the fields of corporate audit, business, management and financial processes and controls.

Chang Yan Feng Chang Yan Feng

Chang Yanfeng graduated from Renmin University of China with a BA Degree in Accounting. He has served as Audit Specialist, Accounting Manager at the headquarters of the China Printing Group; Finance Vice Manager and Settlement Supervisor for Dalian Gome Co., Ltd; Vice Manager of the Financial Center Settlement Management Department at Gome's (a Hong Kong-listed company) world headquarters; and in a U.S. publicly listed company where he assisted in the reverse merger and funding processes. Mr. Chang is familiar with both Chinese and American accounting policies and procedures as well as ERP systems. Mr. Chang currently serves as a consultant to both American and Chinese companies in the fields of corporate audit, financial processes and ERP systems.

Liu Kun Liu Kun
Specialty: Sarbanes Oxley Compliance and Implementation

Liu Kun graduated from Qingdao University with a Bachelor's Degree in Economics and from Tsinghua University with a Master's Degree in Accounting. Mr. Liu is a Certified Public Accountant (CPA), as well as a Certified Internal Auditor (CIA), and is an expert in ERP system implementation as well as Sarbanes Oxley compliance and implementation. Mr. Liu's experience includes holding the position of audit partner at a major Chinese audit firm responsible for auditing Chinese companies undergoing GAAP and IFRS audits.

Vincent Zheng Vincent Zheng
Specialty: Finance and Mergers and Acquisitions

Vincent Zheng, a partner of Capital First Partners operates the firm’s investment advisory business. He managed various VC/PE fund raising projects including Youxia Game and 9skycom, and headed a recently announced milestone deal, Chengdu Dreamwork, an online game developer and operator which was acquired by a domestic public company for RMB 500M.

Before joining China Venture, Vincent had extensive management experience with Fortune 500 companies including Lucent Technologies, Dell Computer, Microsoft and Google Inc.

Vincent received his MBA degree from Richard Ivey School of Business at the University of Western Ontario, Canada.

Jeremy Ng Jeremy Ng
Specialty: Accounting and Finance

Jeremy Ng is based in Mainland China and in Hong Kong, where he has conducted seminars for the Accountancy Society and written accounting and finance articles for various Chinese and English magazines. Jeremy became a Canadian Chartered Accountant in 1977 and an American Certified Public Accountant in 1981. During this time he co-founded, and later sold, an Internet technology software company. Returning to Hong Kong in 1979 to join his father’s accounting practice, he initially worked as an auditor, but later specialized in financial consultancy. Jeremy's consulting experience has been global, but has emphasized transactions in China, Hong Kong, and Africa. In his consultancy, he has performed and supervised due diligence, corporate valuations, mergers and acquisitions, project finance, and public transactions.

Shipeng Wang Shipeng Wang
Specialty: Accounting and Finance

Mr Wang graduated from the University of Illinois in 1999 with an M.S. in accounting and became a CPA shortly thereafter. In 2004 he graduated from the European Institute of Business Administration, in France, with an MBA in finance and strategic management. He has worked at Ernst & Young's Chicago office; Nortel Networks in Brampton, Canada; and as a financial controller for Microsoft in the West / North region of China.

Jose Sada Jose Sada

Jose Sada is the founder partner of DS Capital Partners a firm that specializes in mergers and acquisitions. From year 1984 to 1995, he was the cofounder and Senior Vice President of Multivest International, Ltd San Diego CA. Company focused in private banking and corporate financing. From 1995 to 2001 he was a Senior Vice President in the Investment Banking division in Vector (Protego), Casa de Bolsa, a leading Investment Banking firm in Mexico. While at Vector, he successfully led a team for seven years that closed transactions amounting to more than half a billion dollars in private equity and M&A transactions. Mr. Sada was also a member of the Board and worked with the Former Minister of Finance of Mexico. His 24-year experience in financial transactions led him to partner his team with the prestigious 130-year-old New York based group, Dominick & Dominick. Mr. Sada also sits on the board of various companies in Mexico, such as: Medica Sur, Polímeros Flexibles de Monterrey (major shareholder) and Micropaint de Mexico. He Chairs the Comedor de los Pobres foundation (hall for the poor), and sits on the board of Casa Sacerdotal, A.B.P. He Attended the University of San Diego and graduated with a BA, with emphasis in finance and banking. He is also a graduate of the AD1 program at IPADE (Instituto Panamericano de Alta Direccion de Empresas). He also has attended management programs at The Wharton Business School.

James J. Keil James J. Keil

J. J. Keil has a rich and varied Business background; 38 years with two World Class American Corporations including 20 years with IBM and 18 with Xerox. He has served on the board of several small companies, and was involved with two companys' Initial Public Offerings (IPO).

He currently serves on the Board of a small public high technology company. He was an advisor and early investor in an Internet Start-Up focused on Electronic Bill Payment which was purchased by Siebel Systems in 2004.

Keil's entire Business Career, including his Corporate and his private Consulting Business, focused primarily on Sales, Marketing, Field Operations and Information Technology.

In his corporate career he started as a Sales Representative in an IBM territory in 1953. At both IBM and Xerox he held key management and executive positions in Sales, Marketing, Product Marketing and Headquarters Staff.

In his private Consulting business over 15 years he focused on: Use of the Internet for Competitive Advantage; Sources of Success in Selling; Executive, Sales, and Systems Recruiting. He also assisted Small Start-ups in developing new revenue sources to fulfill their Strategic Business Plans.

Keil considers his current Consulting strengths: Competence in Marketing, Sales and Field Operations; Implementing Targeted Business Strategies; Evaluating Sales and Sales Management Capabilities and developing programs to determine the Sources of Success to achieve Operating Plan Objectives.

He is a graduate of the University of Dayton (1952) with a BS Degree in Business Organization and Economics. He spent a year in the MBA Executive Program at the University of Chicago in 1961, and attended the Harvard Business School's Fourth Program for Management Development in 1962.

KC Kwan KC Kwan

KC Kwan (born 1949) is an independent non-executive director of Hutchison Telecom. He was appointed on 23 August 2004. Mr. Kwan holds a Bachelor of Accountancy (Honors) degree from the University of Singapore and is a member of the Institute of Chartered Accountants in Australia. He worked for Merrill Lynch & Co. Inc for over ten years during the period from 1982 to 1993. His last position with Merrill Lynch was president for its Asia Pacific region. Mr. Kwan joined the Concord group of companies in March 1993 and retired from the group at the end of 2002 as joint managing director. Mr. Kwan is presently president of Morrison & Company Ltd. which is a business consultancy firm and executive director of China Medical Science Limited, a company listed on the growth enterprise market of the Stock Exchange. Mr. Kwan completed the Stanford Executive Program in 1992.

Mr. Kwan is a member of the Audit Committee.

Robert Durst Robert T. Durst, Jr.

Rob has over twenty years experience identifying new business opportunities, inventing and developing those technologies and products required to monetize them, and building and managing the organizations necessary for their effective commercialization. During his career as a "serial intrapreneur" at companies which have included Bell Labs, IBM, Pitney Bowes and NeoMedia Technologies (which he also helped found and bring public), he has repeatedly drawn upon his eclectic knowledge of technology, intellectual property and strategic business development to help his employers and clients identify, protect and develop new assets which have proven key to the expansion and defense of their respective businesses.

In his capacity as both a senior line executive and consultant, Rob has been responsible for all aspects of product and business development; from concept creation and development in R&D, through post launch support in business operations. Rob also has extensive experience with public company representation, the process of raising capital, and working with both internal and outside counsel to develop contracts, licensing agreements, intellectual property assets and pursue litigation related issues.

Rob is a graduate of Allegheny College and holds a Masters degree from the University of Illinois at Urbana-Champaign. He and his wife and three children live in the borderlands of Massachusetts and New Hampshire northwest of Boston.

Norman Tong Norman Tong

Norman Tong is a financial advisor and forensic accountant. He currently serves as a consultant providing guidance and training on US GAAP and SEC requirements as well as the implementation of proper internal controls. Previously Mr. Tong served as the Controller of Deep Field Technologies in Beijing, China, and the Accounting Manager for NeoMedia Technologies Inc. in Florida. Prior to this public company experience, he was a tax accountant. Mr. Tong holds a B.S. in Finance from the University of Florida and has had advanced courses at Florida Gulf Coast University.
